These providers may have access to personal information only to the extent reasonably necessary to perform services on our behalf, subject to applicable contractual and legal requirements.

Some service providers may process or store information outside Canada. As a result, personal information may be subject to the laws of the jurisdiction in which the service provider or its facilities are located.

We take reasonable steps to select and manage service providers appropriately and to protect personal information transferred to third parties.

9. Data Retention

We retain personal information only for as long as reasonably necessary to fulfill the purposes for which it was collected, to provide services, maintain appropriate business and transaction records, resolve disputes, enforce agreements, or comply with legal, regulatory or contractual requirements.

When personal information is no longer required, we take reasonable steps to securely delete, destroy or anonymize it, subject to applicable legal or business requirements.

10. Security

We use reasonable administrative, technical and physical safeguards appropriate to the sensitivity of the personal information we hold.

These safeguards are intended to protect personal information against loss, theft, unauthorized access, use, disclosure, copying, modification or destruction.

If a privacy breach occurs that triggers obligations under applicable law, we will respond and provide notifications as required.

11. Children’s Privacy

Our website and services are not generally directed toward children.

We do not knowingly collect personal information from children where doing so would require parental or guardian consent unless that consent has been appropriately obtained or collection is otherwise permitted by law.

5. Confidentiality and Unsolicited Materials

The Site is not a confidential submission channel unless we expressly identify it as such.

Please do not send us confidential or proprietary creative materials, game concepts, scripts, artwork, business plans, inventions, source code or other sensitive information through a general contact form unless we have specifically requested or agreed to receive them.

Our Privacy Policy does not form a waiver of any privacy rights you may have under applicable Canadian privacy legislation.

If we offer products, services, tickets, memberships, digital goods or other paid offerings through the Site, the applicable price, taxes, payment terms, cancellation or refund terms and other material conditions will be disclosed before you complete the applicable transaction.

Additional terms may apply to a particular purchase or service.

Nothing in these Terms is intended to exclude, restrict or waive any consumer right or remedy that cannot lawfully be excluded, restricted or waived under applicable law.

Where Ontario’s consumer-protection requirements apply to an online transaction, we will comply with the applicable requirements, including required disclosures, acceptance procedures and delivery of the applicable agreement. Ontario’s Consumer Protection Act contains specific rules for qualifying internet and remote consumer agreements.

9. Availability and Changes to the Site

We may modify, update, suspend or discontinue all or part of the Site or any feature at any time.

We do not guarantee that the Site will always be available, uninterrupted, secure or error-free.

We may update or correct information on the Site without notice.

We are not obligated to continue operating any particular Site feature, project page, community feature or other online service indefinitely.

10. Information and Content on the Site

We make reasonable efforts to present information on the Site accurately and to keep it reasonably current.

However, the Site may contain errors, omissions, outdated information or preliminary information, particularly in connection with projects that are in development.

Nothing in these Terms excludes or limits any warranty, condition, representation or statutory right that cannot lawfully be excluded or limited under applicable law.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Invisible VFX and its directors, officers, employees, contractors and representatives will not be liable for indirect, incidental, special, consequential or punitive damages arising from or relating to your use of, or inability to use, the Site.

Where permitted by applicable law, our aggregate liability arising from your use of the Site will be limited to the greater of:

(a) the amount you paid to Invisible VFX, if any, specifically for the Site or the applicable service giving rise to the claim during the twelve months preceding the event giving rise to the claim; or

(b) CAD $100.

This limitation does not apply to liability that cannot legally be limited or excluded.

Nothing in these Terms is intended to limit liability for fraud, wilful misconduct, or other liability that applicable law does not permit us to limit or exclude.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Invisible VFX and its directors, officers, employees, contractors and representatives from claims, losses, liabilities, damages, costs and reasonable expenses arising from:

  • your unlawful use of the Site;
  • your material breach of these Terms; or
  • your infringement of another person’s rights through your use of the Site or your Submissions.

This section does not require you to indemnify Invisible VFX for our own negligence, misconduct or liability that cannot lawfully be transferred to you.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to any mandatory rights or remedies available to you under applicable consumer-protection or other legislation, the courts of Ontario will have jurisdiction over disputes arising from or relating to these Terms or your use of the Site.

Nothing in this section is intended to deprive a consumer of rights or remedies that cannot legally be waived under the laws applicable to that consumer.

16. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the “Effective date” at the beginning of the Terms.

Your continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms to the extent permitted by law.

Where applicable law requires additional notice or affirmative acceptance of material changes, we will provide that notice or obtain that acceptance.

17. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, where legally permitted.

The remaining provisions will continue in effect.

18. Entire Agreement

These Terms, together with any policies or additional terms expressly incorporated by reference, constitute the agreement between you and Invisible VFX concerning your use of the Site.

If a separate written agreement applies to a particular service, product, project, employment relationship, contractor relationship, transaction or other activity, that agreement will govern to the extent of any conflict with these Terms.
